Grant of Rights
This Media Release and Consent Form (this "Release") is entered into as of [____________] ("Release Date") by [____________] ("Releasor") in favor of [____________] ("Releasee"). In consideration of the mutual covenants and agreements set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Releasor hereby irrevocably grants to Releasee and its successors, assigns, licensees, and authorized agents the following rights: the unrestricted right and license to photograph, film, videotape, digitally capture, record, and otherwise create visual, audio, audiovisual, and digital reproductions of Releasor's appearance, likeness, image, voice, name, and performance (collectively, the "Materials").
The grant of rights includes: (a) the right to use, reproduce, publish, broadcast, transmit, display, perform, edit, modify, adapt, translate, create derivative works from, distribute, and otherwise exploit the Materials in any form, format, medium, or technology now known or hereafter developed; (b) the right to use Releasor's name, image, likeness, voice, and biographical information in connection with the Materials for identification, attribution, and promotional purposes; (c) the right to sublicense any or all of the foregoing rights to third parties; and (d) the right to assign this Release in whole or in part in connection with the sale, merger, or transfer of Releasee's business or the relevant portion thereof.

Releasor acknowledges and agrees that the Materials may be combined with other materials, and that no prior approval from Releasor is required for any use, modification, adaptation, or distribution of the Materials, whether alone or in combination with other content. Releasee is not obligated to use the Materials in any way and makes no representation that the Materials will be published or broadcast.
Scope of Use
Releasee is authorized to use the Materials for any and all lawful purposes, including without limitation: (a) Commercial use — advertising, marketing, promotional campaigns, product packaging, point-of-sale materials, catalogs, brochures, and any other commercial purpose; (b) Editorial use — news reporting, journalism, books, magazines, newspapers, academic publications, and educational materials; (c) Promotional use — press releases, website and social media content, email campaigns, internal and external corporate communications, investor relations materials, and trade show displays; (d) Digital use — websites, mobile applications, streaming services, podcasts, online video platforms, social media platforms (including but not limited to Instagram, Facebook, YouTube, TikTok, LinkedIn, and X/Twitter), and digital advertising networks.
The authorized uses extend to: (e) Broadcast and film — television broadcasts, streaming video, motion pictures, documentaries, and related productions; (f) Out-of-home media — billboards, transit advertising, event signage, and public displays; (g) Archival and research use — storage in any media format for archival, licensing, reference, or historical purposes; and (h) [other specified uses: ____________]. Releasor acknowledges that the Materials may be edited, cropped, colored, altered, merged with other content, or otherwise modified at Releasee's sole discretion, without any obligation of prior approval from Releasor, provided such use does not portray Releasor in a defamatory, obscene, or fraudulent manner.
Duration & Territory
TERM: [Select applicable option.] (a) PERPETUAL: The rights and licenses granted herein are irrevocable and perpetual, meaning they continue for the full term of all applicable intellectual property rights throughout the world, including any renewals and extensions thereof. (b) LIMITED TERM: The rights and licenses granted herein shall continue for a period of [____________] years from the Release Date, after which all rights granted shall revert to Releasor with respect to new uses; however, any uses commenced prior to expiration may continue in perpetuity.

Release of Claims & Compensation Acknowledgment
RELEASE: Releasor hereby releases and forever discharges Releasee and its officers, directors, employees, agents, successors, assigns, licensees, and contractors from any and all claims, demands, causes of action, and liabilities of any kind, known or unknown, arising from or relating to the creation, use, or exploitation of the Materials as authorized under this Release, including without limitation claims for: (a) invasion of privacy or right of publicity, whether statutory or common law; (b) defamation or libel; (c) infringement of any intellectual property right; (d) emotional distress; (e) unjust enrichment; and (f) any other claim arising from Releasee's authorized use of the Materials. To the extent applicable, Releasor expressly waives the protections of California Civil Code § 1542 (and any similar statute) with respect to claims unknown at the time of executing this Release.
