The default rules are governed by Pennsylvania Uniform Limited Liability Company Act of 2016 (15 Pa.C.S. Ch. 88).
Without an operating agreement, Pennsylvania's default LLC statutes govern your business, and these default rules rarely align with what members actually intend.
