When Do You Need a Demand Letter?
You have a legal claim against another party — unpaid debt, property damage, unfulfilled obligation — and want to formally demand resolution before filing a lawsuit.
You need a professional written demand that clearly states what you want, why you are entitled to it, and what will happen if the demand is not met.
You want to demonstrate good faith effort at resolution, which courts and mediators view favorably and which may be required before certain legal remedies are available.
What Should a Demand Letter Include?
Statement of Facts
A clear, chronological summary of the events giving rise to your claim, including relevant dates, amounts, and interactions.
Legal Basis
The legal theory supporting your claim: breach of contract, negligence, statutory violation, or other basis for liability.
Specific Demand
Exactly what you want: a specific dollar amount, specific action to be taken, or specific behavior to stop.
Response Deadline
A reasonable deadline (typically 10-30 days) and the consequences of failing to respond — usually that you will file a lawsuit without further notice.

Legal Basis for Claim
Recipient's conduct as described herein constitutes one or more of the following: (a) breach of contract, in that Recipient has failed to perform obligations under [that certain agreement dated ____________ / the verbal agreement entered on ____________ / other: ____________], specifically [____________]; (b) [tortious conduct / negligence], in that Recipient owed Claimant a duty of [____________], breached that duty by [____________], and proximately caused Claimant's damages; (c) violation of [applicable statute / regulation: ____________]; and/or (d) [fraud / misrepresentation / unjust enrichment / conversion / other: ____________] in connection with [____________].

Demand for Relief & Deadline
DEMAND IS HEREBY MADE that Recipient, on or before [____________] (the "Response Deadline"), which is [____] calendar days from the date of this letter: (a) pay to Claimant the sum of [$__________] in [certified funds / wire transfer] as compensation for Claimant's losses and damages; (b) [perform the following specific action: ____________]; (c) [cease and desist from ____________]; (d) [return the following property: ____________]; and/or (e) [other: ____________]. Recipient is hereby on notice to preserve all documents, electronically stored information, and other evidence related to the matters described herein. Failure to preserve such materials may constitute spoliation of evidence, resulting in adverse inferences and sanctions in any subsequent legal proceedings. Claimant will seek recovery of all attorneys' fees, litigation costs, and pre- and post-judgment interest in addition to the damages described herein, to the fullest extent permitted by applicable law or contract. Please direct your response and any correspondence regarding this matter to [____________] by [____________].
Signature Requirements
No Signature Required
Demand letters are unilateral communications. Signing is optional but adds formality.
How to Fill Out a Demand Letter
Organize Your Facts
Write a clear factual narrative. Be specific about dates, amounts, and what happened. Avoid emotional language — stick to facts.
State Your Legal Basis
Briefly explain why the other party is legally responsible. You don't need to cite cases, but identifying the legal theory (breach of contract, negligence, etc.) adds credibility.
Make a Specific Demand
State exactly what you want. "Pay me $5,000 within 30 days" is more effective than "compensate me for my losses."
Send Properly
Send via certified mail with return receipt requested. Keep copies of everything. A demand letter sent by an attorney carries more weight.
